These Terms of Use (“Terms”) govern your access to and use of AskWhaley.com and all related AskWhaley webpages, landing pages, advertisements, forms, mobile versions, applications, telephone numbers, call experiences, content, features, products, services, and communications made available by Dralic Inc. d/b/a WhaleMaven (“WhaleMaven,” “AskWhaley,” “Company,” “we,” “our,” or “us”) (collectively, the “Site”).

These Terms constitute a legally binding agreement between you and WhaleMaven.

By accessing or using the Site, submitting information, initiating a telephone call through the Site, clicking a button indicating acceptance, or otherwise interacting with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Additional disclosures, notices, authorizations, or consent language may apply to a particular request, product, service, communication, or interaction. Those disclosures should be read together with these Terms.

If you do not agree to these Terms, you must discontinue use of the Site.

1. Eligibility

You may use the Site only if you are at least eighteen (18) years of age; legally capable of entering into a binding agreement; a resident of the United States or otherwise legally permitted to use the Site; using the Site for lawful personal, family, or household purposes; and complying with applicable federal, state, and local laws.

The Site is intended solely for adult consumers and is not directed toward children.

By using the Site, you represent and warrant that you satisfy these eligibility requirements.

2. Nature of AskWhaley's Services

AskWhaley is an online advertising, marketing, lead-generation, referral, and call-connection platform.

We help consumers request information and connect with independent third parties regarding products and services that may include loans and other financial products, auto insurance, home insurance, home security, home improvement, home services, and other products or services that a consumer requests, expresses interest in, or otherwise affirmatively chooses to receive information about.

Depending on the applicable product, service, campaign, and consumer request, AskWhaley may facilitate a connection through an online form, inquiry transmission, telephone number, click-to-call feature, inbound call, call routing or transfer, redirect, marketplace, advertising experience, or other referral method.

When you submit information, AskWhaley may evaluate your inquiry against participating-provider or campaign criteria and may route, transmit, distribute, or otherwise provide applicable information to one or more participating independent third parties that may be interested in responding to your request.

AskWhaley does not represent that it considers every provider, lender, insurer, contractor, financial-service company, home-security company, or other company available in the marketplace.

Product and service availability may depend upon geographic location, state law, provider participation, provider criteria, licensing restrictions, service areas, provider capacity, campaign requirements, and other factors.

3. AskWhaley Is Not the Provider

Unless expressly stated otherwise, WhaleMaven is not a lender, creditor, bank, credit union, finance company, loan broker, mortgage broker, insurance carrier, insurance agency, insurance producer, licensed insurance agent or broker, contractor, home-improvement company, home-security company, alarm company, security dealer or installer, financial adviser, tax adviser, legal adviser, credit-repair organization, debt-settlement provider, appraiser, government agency, or provider of any independent third-party product or service promoted through the Site.

WhaleMaven does not make loans or extend credit; approve or deny credit applications; determine creditworthiness; establish loan amounts, APRs, finance charges, repayment periods, or other loan terms; issue or bind insurance policies; determine insurance eligibility, underwriting, premiums, deductibles, or coverage; perform home services; install or monitor security systems; or determine the independent provider's ultimate pricing, eligibility, approval, service availability, or contractual terms.

Independent providers are responsible for their own products, services, licensing, underwriting, eligibility decisions, pricing, contracts, communications, privacy practices, and regulatory compliance.

4. Lead Generation, Referral, Routing and Connection Services

When you submit an inquiry, AskWhaley may use the information you provide to identify participating providers that may be interested in your request and to route, transmit, distribute, or otherwise facilitate your connection with one or more participating providers, advertisers, lead purchasers, call buyers, marketplaces, aggregators, agents, agencies, contractors, installers, or Marketing Partners.

Depending upon the applicable request, information may be transmitted directly to participating providers; distributed through marketplaces or routing platforms; evaluated against participating-provider criteria; offered to participating lead purchasers; used to determine which participating providers may be interested in the inquiry; used to facilitate a quote, offer, estimate, consultation, application, appointment, telephone connection, or requested information; or otherwise processed as described in the Privacy Policy and applicable consumer-facing disclosures.

Some participating recipients may operate networks or marketplaces involving additional providers. Where information is transmitted through such arrangements, the transmission is subject to the applicable consumer request, consumer-facing disclosures or consent, contractual requirements, and applicable law.

AskWhaley does not guarantee that any participating provider will accept, purchase, respond to, or act upon an inquiry.

5. Additional or Alternative Products and Services

During or after your original request, including where participating providers are unable or unwilling to proceed with that request, AskWhaley may present you with an opportunity to consider additional or alternative products or services.

These may include financial products or services, credit-related services, insurance products, home-security services, home services, or other products or services available through participating providers or Marketing Partners.

Your original inquiry does not by itself constitute a request for every additional product or service available through AskWhaley.

If AskWhaley is unable to connect you with a participating provider for your original request, the rejection, expiration, non-purchase, or inability to fulfill that request does not by itself constitute your affirmative request for another product or service.

Where you affirmatively request, select, express interest in, or otherwise provide applicable consent for an additional product or service, AskWhaley may create or process an additional inquiry, reuse information previously provided where reasonably necessary and appropriate, request additional information, and connect that inquiry with participating providers or Marketing Partners relevant to the selected product or service.

A negative response, failure to select an option, or failure to affirmatively indicate interest will not by itself be treated as a request for that additional product or service.

6. Sensitive Information and Additional Products

Information collected for one consumer request is not automatically authorized for every other product, service, campaign, or commercial purpose.

In particular, Social Security Numbers, bank-account or routing information, financial-account credentials, government-issued identifiers, and similar sensitive information will not ordinarily be disclosed to an unrelated provider solely because that information was collected for an earlier request.

Sensitive information may be disclosed for another purpose only where reasonably necessary and proportionate to that purpose and otherwise permitted by applicable law and any applicable authorization or consent.

Where separate consent or authorization is required for credit inquiries, sensitive-information disclosures, calls, text messages, emails, or other activities, AskWhaley or the applicable participating provider may present that authorization separately.

7. Advertising and Compensation Disclosure

AskWhaley is an advertising-supported platform.

WhaleMaven may receive compensation from participating providers, advertisers, lead purchasers, call buyers, marketplaces, agencies, affiliates, publishers, contractors, service providers, and Marketing Partners in connection with inquiries, accepted leads, calls, clicks, redirects, appointments, applications, sales, transactions, or other qualifying marketing events.

Compensation and commercial relationships may affect which participating providers receive an inquiry, which advertisements or participating providers are displayed, the order or manner in which options are presented, or how calls or inquiries are routed.

AskWhaley does not represent that the provider receiving your inquiry is necessarily the best, lowest-cost, highest-rated, most suitable, or most appropriate provider for you.

AskWhaley does not represent that its participating providers constitute every provider available to you.

Unless expressly stated otherwise, AskWhaley should not be interpreted as providing a comprehensive or neutral comparison of all products, providers, rates, terms, prices, or services available in the marketplace.

8. No Guarantee of Connection, Approval, Coverage, Savings, or Service

Use of AskWhaley does not guarantee that you will be connected with a provider; that a provider will contact you; that a call will be answered or transferred; approval for a loan or financial product; insurance qualification or coverage; receipt of a quote or offer; any particular loan amount, APR, rate, premium, deductible, coverage amount, equipment, service, price, estimate, discount, savings, contract term, warranty, or result; or completion of any transaction.

All eligibility, underwriting, pricing, approval, denial, coverage, installation, scheduling, licensing, service availability, and contractual decisions are made by the applicable independent provider.

9. Loan and Financial-Product Disclosures

AskWhaley does not make loans, extend credit, make credit decisions, or make lending decisions.

Financial products available through participating providers are subject to each provider's eligibility requirements, verification procedures, underwriting requirements, licensing, state availability, and applicable law.

Loan amounts, APRs, finance charges, fees, repayment periods, and other terms vary by provider and consumer.

Payday, short-term, and certain other consumer loans may be expensive forms of credit and may not be available in every state.

Nothing on the Site constitutes a firm offer of credit, loan approval, preapproval, commitment to lend, guarantee of eligibility, credit advice, financial advice, or representation that a particular financial product is the lowest-cost or most appropriate option available.

AskWhaley does not automatically obtain authority to access a consumer report merely because you submit an inquiry.

Where separate credit authorization is required, the applicable authorization must be obtained as required by law.

10. Insurance Disclosures

AskWhaley does not issue, underwrite, bind, sell, or administer insurance policies and is not an insurance carrier, insurance agency, producer, or licensed insurance agent or broker.

AskWhaley may facilitate connections with participating insurers, insurance agencies, producers, agents, marketplaces, and other authorized insurance-related providers.

Insurance availability, premiums, coverage, exclusions, deductibles, underwriting, discounts, eligibility, and policy terms are determined by the applicable licensed provider.

Submitting information to AskWhaley does not itself establish insurance coverage.

AskWhaley does not represent every insurance provider or every insurance option available in your area.

11. Home-Security Disclosures

AskWhaley is not a home-security company, alarm company, security dealer, installer, or monitoring company.

AskWhaley does not sell, install, monitor, maintain, repair, service, inspect, or warrant security systems.

Equipment, monitoring, installation, smart-home features, pricing, promotional terms, warranties, contracts, service areas, and availability are determined by the applicable independent provider.

AskWhaley does not represent every home-security company or every home-security option available in your area.

12. Home-Service and Home-Improvement Disclosures

AskWhaley does not perform, supervise, inspect, warrant, or guarantee home-improvement or home-service work.

Participating contractors, installers, technicians, warranty companies, and other providers are independent third parties.

Consumers are responsible for reviewing a provider's credentials, licensing, insurance, bonding, reputation, estimates, contract terms, warranties, and suitability before engaging the provider.

13. Information You Submit

You agree that information submitted through the Site will be accurate, truthful, complete, and current.

You may not submit false or misleading information; impersonate another person; provide another person's information without authorization; submit contact information you are not authorized to use; create fraudulent, fabricated, automated, duplicate, incentivized, or non-genuine inquiries; manipulate provider routing or call distribution; circumvent fraud, consent, privacy, or security controls; or use the Site unlawfully.

WhaleMaven may reject, suppress, block, investigate, or decline submissions reasonably believed to be fraudulent, inaccurate, duplicated, manipulated, unauthorized, abusive, or unlawful.

14. Consent to Use and Disclose Information

When you submit information, you authorize WhaleMaven to collect, process, store, use, transmit, and disclose applicable information as described in the Privacy Policy, applicable Notice at Collection, form-specific disclosures, Marketing Partners disclosure, and any authorization or consent presented during the applicable interaction.

Your agreement to these Terms does not create consent that applicable law requires to be separately, affirmatively, or conspicuously obtained.

The specific disclosure presented with a form or consumer choice controls the scope of any particular consent or authorization.

15. Marketing Partners

AskWhaley maintains a centralized Marketing Partners list identifying participating companies where appropriate.

That list may be updated periodically as participating relationships begin, end, or change.

Inclusion on the Marketing Partners list does not mean that every Marketing Partner receives information about every consumer or receives every category of information maintained by AskWhaley.

Information disclosed to a Marketing Partner depends upon the consumer request, expressed interest, applicable consent or authorization, product or service involved, nature of the relationship, and applicable law.

16. Telephone, SMS and Email Communications

The disclosures presented near an applicable submission button or other consent mechanism explain the communications you are requesting or agreeing to receive.

Where you provide applicable consent, communications may be made by WhaleMaven and/or participating companies identified or linked in the applicable disclosure using communication methods permitted by applicable law, which may include telephone calls, automated technology, artificial or prerecorded voice, SMS or text messages, and email.

Communications may concern your original request and, where separately disclosed or otherwise permitted by applicable law and applicable consent, additional products or services.

Where required by law, consent to receive automated marketing calls or marketing text messages is not a condition of purchasing property, goods, or services.

Message and data rates may apply. Message frequency may vary.

Applicable consent may be revoked using reasonable methods permitted by law.

17. Pay-Per-Call and Call Routing

AskWhaley may display telephone numbers or click-to-call functionality that facilitates connections with participating providers.

Call-tracking, routing, transfer, interactive voice response, and related technologies may be used.

Calls may be routed based on the product or service requested, geographic location, provider criteria or availability, service area, campaign requirements, call characteristics, and other relevant criteria.

WhaleMaven may receive compensation for qualifying calls.

Such compensation does not guarantee that the consumer will qualify for or receive any particular product or service.

18. Call Recording

Where calls are monitored or recorded, notice or consent will be provided through the applicable call experience where required by applicable federal or state law.

These Terms do not themselves constitute or replace any call-recording notice or consent required by applicable law.

19. Electronic Communications and Signatures

Electronic records, clicks, checkboxes, typed names, or other electronic actions may constitute electronic signatures or written communications where permitted by law.

Where additional E-SIGN or other consent requirements apply to a particular transaction, separate disclosures may be provided.

20. Independent Third Parties

Participating providers are independent third parties.

Participation in AskWhaley does not by itself create an employment, agency, partnership, joint venture, franchise, fiduciary, or similar relationship between WhaleMaven and the provider.

Any transaction for a third-party product or service is solely between you and that provider unless expressly stated otherwise.

21. Third-Party Websites and Redirects

The Site may contain links, advertisements, redirects, telephone connections, embedded content, or integrations involving independent third parties.

Such inclusion does not by itself constitute WhaleMaven's endorsement, recommendation, verification, or warranty of that third party.

Third-party services are governed by their own terms and privacy practices.

22. Intellectual Property

The AskWhaley Site, WhaleMaven and AskWhaley branding, mascots, designs, text, software, graphics, databases, forms, content, and other materials are owned by WhaleMaven or used with authorization and are protected by applicable intellectual-property laws.

You receive only a limited, revocable, non-exclusive, non-transferable license for lawful personal use of the Site.

23. Privacy

WhaleMaven's collection, use, disclosure, sale or sharing where applicable, retention, security, sensitive-information practices, consumer choices, and privacy rights are described in the Privacy Policy and applicable privacy notices.

Those disclosures are incorporated into these Terms by reference where appropriate.

24. Prohibited Uses

You may not use AskWhaley to violate law; commit fraud; submit fabricated, stolen or unauthorized information; impersonate another person; generate fake or automated inquiries; scrape consumer information; circumvent security, privacy, consent or fraud controls; interfere with Site operations; introduce malicious technology; gain unauthorized system access; misuse AskWhaley branding; or assist another person in such conduct.

25. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT, FEATURES, FORMS, ADVERTISEMENTS, TELEPHONE CONNECTIONS, AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WHALEMAVEN DISCLAIMS WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND AVAILABILITY.

Nothing in these Terms limits rights or warranties that cannot lawfully be waived.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHALEMAVEN AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, ADVERTISING PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR SIMILAR DAMAGES ARISING FROM USE OF THE SITE OR DEALINGS WITH INDEPENDENT THIRD PARTIES.

To the fullest extent permitted by law, WhaleMaven's aggregate liability shall not exceed the greater of $100 or the amount paid directly by you to WhaleMaven for use of the Site during the six months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

27. Release

To the fullest extent permitted by applicable law, you release WhaleMaven and its affiliates, officers, directors, employees, contractors, representatives, licensors, and agents from claims arising solely from the acts, omissions, products, services, pricing, eligibility decisions, underwriting decisions, or contractual obligations of independent third-party providers.

This release does not apply to claims that cannot legally be waived.

28. Indemnification

To the extent permitted by law, you agree to indemnify WhaleMaven against claims arising from your material violation of these Terms, unlawful misuse of the Site, fraudulent or unauthorized information submitted by you, violation of applicable law, or infringement of another person's rights.

29. Informal Dispute Resolution

Before initiating arbitration or litigation, the parties agree to make a good-faith attempt to resolve disputes informally for at least thirty (30) days where permitted by applicable law.

30. Binding Arbitration

Except where prohibited by law or where a claim qualifies for small claims court, disputes arising from these Terms, the Site, or the relationship between you and WhaleMaven shall be resolved through binding arbitration administered by the American Arbitration Association under its applicable then-current rules.

Arbitration shall ordinarily be conducted by a single arbitrator and may be conducted through written submissions, telephone, or remote video conference unless otherwise required.

You may opt out of this arbitration provision by sending written notice to hello@askwhaley.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. If you opt out, neither you nor WhaleMaven will be required to arbitrate disputes under this Section, but all other provisions of these Terms remain in effect.

The Federal Arbitration Act governs this arbitration provision where applicable.

Nothing in this section eliminates rights that cannot lawfully be waived.

31. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WHALEMAVEN AGREE TO ASSERT CLAIMS ONLY ON AN INDIVIDUAL BASIS AND WAIVE PARTICIPATION IN CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDINGS WHERE SUCH WAIVER IS LEGALLY ENFORCEABLE.

32. Governing Law

These Terms are governed by Delaware law, without regard to conflict-of-law principles, except where another jurisdiction's non-waivable law applies.

33. Changes to the Site

WhaleMaven may modify, add, suspend, replace, or discontinue products, services, product categories, advertisements, participating-provider relationships, Marketing Partner relationships, telephone programs, features, or portions of the Site.

34. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, products, business practices, technology, participating-provider relationships, Marketing Partners, regulatory requirements, or applicable law.

The “Last Updated” date identifies the latest revision.

Updated Terms become effective upon posting unless applicable law requires additional notice or consent.

A revision to these Terms does not retroactively create consent where applicable law requires separate affirmative consent, authorization, or disclosure.

35. Severability

If any provision is invalid or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

36. Waiver

Failure by WhaleMaven to enforce a provision does not waive its right to enforce that or another provision later.

37. Assignment

You may not assign these Terms without WhaleMaven's written consent.

WhaleMaven may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing, asset sale, transfer of the Site, or similar business transaction, subject to applicable law.

38. Force Majeure

WhaleMaven is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, telecommunications or Internet failures, cyberattacks, platform outages, governmental actions, vendor failures, or changes in applicable law.

39. Entire Agreement and Specific Consumer Disclosures

These Terms, together with the Privacy Policy and applicable form-specific notices, consumer disclosures, consent language, Marketing Partners disclosures, Notice at Collection, SMS terms or policies where applicable, and other policies expressly incorporated by reference, govern your use of AskWhaley.

Where a specific consumer-facing disclosure or consent presented during an interaction addresses the scope of a particular authorization, consent, communication, or data use, that specific disclosure governs that issue to the extent required by applicable law.
